1. Acceptance of Terms

By accessing or using the Taicho web application located at app.taicho.ai, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the service. These terms apply to all users, including founders, growth leads, and team members operating under your account.

2. The Service and Accounts

Taicho provides a graph-based content orchestration platform comprising content generation, outreach, and nurture functionalities. To access the service, you must register for an account.

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.

3. Subscriptions, Billing, and Cancellation

Access to the service requires a paid subscription. We offer the following plans: Scout at $49 per month, Captain at $149 per month, and Commander at custom pricing.

• Fees are billed in advance on a monthly basis.
• Subscriptions automatically renew unless canceled prior to the end of the current billing cycle.
• You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and no partial refunds will be issued.

4. Acceptable Use

You agree to use the service only for lawful purposes and in accordance with these terms. You must not use the service to send spam, distribute malware, or engage in any activity that violates applicable laws or third-party rights.

• You are solely responsible for the content your agents publish and the accuracy of that content.
• You must ensure you have the necessary rights and permissions for any third-party accounts you connect to the platform.
• You must not attempt to scrape, bypass, or interfere with the security or operation of the service.

5. AI-Generated Content Disclaimer

The service utilizes artificial intelligence to research, draft, and publish content, as well as to generate outreach and nurture communications.

• You acknowledge that AI-generated output may contain errors, inaccuracies, or unintended phrasing.
• You are solely responsible for reviewing, editing, and approving all content before it is published or sent.
• Taicho assumes no liability for the consequences of publishing or transmitting AI-generated content without your prior review and authorization.

6. Intellectual Property

Taicho and its licensors own all rights, title, and interest in and to the platform, including its underlying software, algorithms, graph structures, and user interface.

• You retain all ownership rights to the original content, data, and materials you input into the service.
• By using the service, you grant Taicho a limited license to process your data solely to provide and maintain the service.
• You may not copy, modify, or reverse engineer any part of the platform without explicit written permission.

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these terms by reference.

• By using the service, you consent to the data practices described in the Privacy Policy.
• You are responsible for ensuring that any personal data you input into the platform is collected and processed in compliance with applicable data protection laws.

8. Availability and Changes to the Service

We strive to maintain continuous availability of the service, but we do not guarantee uninterrupted access.

• We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice.
• We may update these Terms of Service periodically to reflect changes in our practices or for legal and regulatory reasons.
• Continued use of the service following the posting of changes constitutes your acceptance of such changes.

9. Limitation of Liability

To the maximum extent permitted by law, Taicho shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

• Our total aggregate liability for any claims arising out of or related to these terms or the service shall not exceed the amount you paid to us in the twelve months preceding the claim.
• The service is provided "as is" and "as available" without warranties of any kind, either express or implied.

10. Governing Law and Contact

These terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, India.
